He focuses his practice on a variety of transactional matters with particular emphasis on public and private capital market transactions and domestic and cross-border M&A. He also advises on corporate governance, capital market regulatory compliance and other securities-related matters.

He has extensive experience acting for underwriters and issuers in private placements and public offerings and regularly advises issuers in connection with going public transactions and listing applications on the Toronto Stock Exchange, the TSX Venture Exchange and the Canadian National Stock Exchange. He's also frequently involved in advising on complex public and private M&A transactions. He has acted for clients in a wide range of industries including mining, oil and gas, financial services, technology, life sciences, biotech and renewable energy.

  • Represented The Westaim Corporation in its $530 million sale of JEVCO Insurance Company to Intact Financial Corporation
  • Represented the special committee of YM BioSciences Inc. in connection with the $510 million sale of YM to Gilead Sciences Inc.
  • Represented Evergreen Industries Group in its $115 million takeover bid of MagIndustries Corp.
  • Represented the agents in connection with Royal Coal Corp's private placement of $34.5 million in special warrants
  • Represented YM BioSciences Inc. in its approximately $80 million public offering of common shares
  • Represented Iberian Minerals Corp. in its $76 million public offering of ordinary shares
  • Represented the agents in connection with Australian company Lachlan Star Limited's private placement of CAD13.1 million in special warrants and concurrent Canadian IPO
