Dennis represents both Canadian and foreign lenders and borrowers in structuring domestic Canadian and cross-border commercial and corporate loan transactions, syndicated and non-syndicated multi-currency financings, merger and acquisition financing transactions, asset securitization transactions and equipment lease transactions, as well as corporate reorganizations, debt restructurings, enforcement of creditors' rights, insolvency and receivership matters, and negotiating standstill and forbearance agreements.

  • Counsel to the lending syndicate on Element Financial Corporation's $585 million USD senior syndicated revolving credit facility and $600 million USD syndicated bridge credit facility to support the acquisition of leased railcars and the acquisition of a leased helicopter portfolio from GE Capital, as part of Element Financial's $2 billion USD vendor finance program with Trinity Industries
  • Counsel to a Canadian Borrower in the petrochemical industry in a North American cross-border syndicated credit facility
  • Represented various non-Canadian Banks in connection with the Canadian cross-border aspects of U.S.-domiciled lending transactions
  • Counsel to major Canadian motor vehicle fleet and equipment lease management company in connection with asset securitizations and syndicated bank financings
  • Regularly acts as agent in senior syndicated bank financing to major North American equipment lease and finance corporation
  • Represents European bank and its Canadian subsidiary in connection with various lending transactions
  • Regularly represents HSBC in connection with corporate and commercial loans to borrowers in various industries
