Karen Galpern is a partner at Hansell LLP. Karen has practised as an Ontario lawyer for almost thirty years and has extensive experience advising corporations, financial institutions, regulatory and other public entities and their boards on a broad range of legal issues. Karen commenced her career at Osler, Hoskin & Harcourt LLP and continued her practice as a partner at Norton Rose Fulbright Canada LLP (formerly, Ogilvy Renault LLP), where, together with a colleague, she was instrumental in building that firm’s research team.

Karen Galpern is a partner at Hansell LLP. Karen has practised as an Ontario lawyer for almost thirty years and has extensive experience advising corporations, financial institutions, regulatory and other public entities and their boards on a broad range of legal issues. Karen commenced her career at Osler, Hoskin & Harcourt LLP and continued her practice as a partner at Norton Rose Fulbright Canada LLP (formerly, Ogilvy Renault LLP), where, together with a colleague, she was instrumental in building that firm’s research team.

Karen is a problem solver with a focus on providing practical bottom line advice on complex issues. She has been involved in major transactions, litigation (including constitutional litigation and review of administrative action), significant financings, mergers and acquisitions and corporate restructurings. Karen was a founding member of the “Special Situations” team at her former firm. As part of that team, she advised both boards and dissidents in numerous proxy battles, on sophisticated securities disputes and on other strategic transactions. Her insights and judgment were central to the success of the team on behalf of its clients.

Karen obtained her LLB (Civil) from the University of Glasgow, Scotland in 1984 and her LLB (Common) from the University of Western Ontario in 1992. She was admitted to the Ontario bar in 1993.

Karen is a director of the Toronto Youth Theatre, a registered charity that, through cutting edge theatre, empowers young people, regardless of their background, gender or age to explore and reach their potential.

  • Advising on court restructurings, including Nortel Corporation and its subsidiaries, Aero Inventory, W.R. Grace & Co. and Mobilicity Group
  • Advising on Royal Bank of Canada's launch of its €15 billion covered bond program
  • Advising on numerous proxy battles, including TELUS Corporation on its high profile shareholder dispute with Mason Capital Corporation LLC and Agrium Inc. on its high profile dispute with JANA Partners
